   Article V describes the Governing Board itself.  Two points were made
   in private review:  5.1 should be clear about the Powers/OGB exercise
   of authority being "in accordance with the Charter", re-emphasizing
   Charter-Constitution precedence.

   For 5.11 "Officers", it was noted that the Secretary's maintenance of
   the Member database requires some policy regarding privacy and
   confidentiality, specifically with respect to who has access.

   Minor corrections

   5.3 "must be closed" -> "must be completed" (suggested)
