As Mr. Rockwood reminded us at last week's meeting, we are required to
hold an annual meeting open to all Members, at which a new OGB will be
elected and constitutional amendments and other business may be
considered. The following is a draft announcement to be sent to all
Members of record. I would suggest that the OGB discuss this by mail
and plan to approve it with appropriate modifications at next week's
meeting. I believe I have described the logistics in accordance with
Mr. Rockwood's description from last week's meeting, but I do not have
minutes from that meeting and may be misremembering. I trust that
Messrs. Rockwood and Fielding will correct errors or misunderstandings
in my draft.

You are receiving this notice because you are a Member of the
OpenSolaris Community. Action is required of all Members. Please
read this notice in its entirety.
In accordance with section 5.4 of the OpenSolaris Constitution, this
message shall serve as notice that the 2008 OpenSolaris Members
meeting will be held in #opensolaris-meeting on the FreeNode IRC
network[0] beginning at 2000 UTC 18 Feb 2008.
A quorum of 1/3 of Members of record is REQUIRED by section 5.9 in
order to conduct business, including electing the new OGB. Please
plan to attend if at all possible. If a quorum is not present, we
will be unable to conduct business or elect a governing board.
For more information about this meeting and its purpose, please see
the OpenSolaris Constitution[1], specifically section 5.
Logistics of Order
Because the election of OGB members and voting on amendments and other
business will take place via electronic means over a period of a week,
it would be impractical to expect all Members to be present in IRC
from the time the meeting begins until the election is completed.
Therefore, we expect that the meeting, upon reaching quorum, will be
adjourned until 24 March, at which time there will be an opportunity
to conduct additional business and certify the result of the election.
Grants
The OGB has not fixed a record date for this year's meeting.
Accordingly, only Members of record as of 2000 UTC 8 Feb 2008 will be
eligible to vote in this year's elections and otherwise participate in
the meeting. However, because we expect to adjourn for a period
exceeding 30 days, we anticipate fixing a new record date for the
adjourned meeting 10 days prior to the exercise of Membership rights
(i.e., the time voting closes): 0759 UTC 15 Mar 2008. See sections
5.5 and 5.7 for details. Note that the OGB has not yet fixed this or
any other record date and therefore this is subject to change.
Accordingly, if your Community Group intends to issue additional
grants, you should consider doing so as soon as possible so that
worthy individuals may be able to vote in the upcoming election.
